The Limited Liability Company «First Oceanic Bank Ltd.», in the person of the Head of the Customer Service department Mr. Sebastian Holmes, acting on the basis of a Power of Attorney, hereinafter referred to as “the Customer”, hereinafter referred to as “the Agent”, have concluded the present Agreement whereby it is agreed upon as follows:

Definitions used in the Agreement:

the Bank – the Somali Democratic Republic Commercial Bank, registered in the Register of Companies for the Somali International Financial Centre on the 02.01. 2005, registration No. 0000002, registered headquarters address Central Bank Building, Corso, Somalia 55, Mogadishu, Somali Democratic Republic..
the Client – a natural person or entity that is not a resident of the Somali Democratic Republic and that wishes to use services rendered by the Bank.
the Bank tariffs – tariffs approved by the Bank for services rendered by the Bank
the Remuneration fees – an interest or fixed rate and the terms and conditions under which the Customer shall pay remuneration to the Agent in accordance with this Agreement. The fees are given in the Appendix No.1 that is an integral part of this Agreement.
Subject of the Agreement
1.1. The Customer, acting in accordance with the Agreement, concluded with the Bank, grants the Agent a nonexclusive right to perform agency functions in attraction of new Clients for the Bank, from outside of the Somali Democratic Republic.
2. Rights and Obligations of the Parties
2.1. The Agent undertakes:
2.1.1. to carry out functions related to attraction of new Clients, including provision of Clients with information on the Bank services and tariffs, and rendering of assistance to Clients in drawing up documents required for receipt of services.
2.1.2. to comply with the requirements of the Bank in preparing of documents for submission to the Bank
2.1.3. to carry out client identification in accordance with the requirements of the Bank
2.1.4. to certify copies of documents presented by a Client only if the copies are made from original documents.
2.1.5. not to disclose information about the Bank’s Clients which is obtained during performance of the present Agreement.
2.2. the Customer undertakes:
2.2.1. to provide the Agent with all information and materials that are necessary for performing the Agent’s functions.
2.2.2. to pay the Agent remuneration in due time and in full amount in accordance with the provisions of the present Agreement


3. Agency fee
3.1. The Customer shall pay the Agent remuneration for rendered services as per the Remuneration fees, less taxes payable in accordance with the active legislation of the Somali Democratic Republic.
3.2. The Customer shall pay remuneration to the Agent only upon receipt of application from the Agent.
3.3. An application from the Agent may be provided to the Customer by post, fax or e-mail.
3.4. When sending of an application by e-mail, the Agent’s e-mail address, as specified in the present Agreement, is to be used, unless the Customer is notified of a change and Agent has a written confirmation of notification from the Customer
3.5. An application shall contain the following data:
- reference to the present agreement;
- date;
- name of the Agent;
- signature of the Agent’s authorized person (when sending an application by post/fax);
- The name and details of a bank service rendered to a Client attracted by the Agent. (Specimen of application form is given in Appendix 2 of the Agreement);
4. Responsibility of the Agent
4.1. The Agent undertakes responsibility for accuracy of information that is submitted to the Bank by a Client in accordance with the present Agreement.
4.2. The Agent does not have the right to undertake any obligations to third persons on behalf of the Bank or the Customer, including the right to sign agreements or other documents binding upon the Bank or the Customer.
4.3. The Agent shall be fully liable to the Bank and third persons for losses caused to them due to non-fulfilment or improper fulfillment by the Agent of his duties under the present Agreement, as well as for exceeding by him of authority under the Agreement.
5. Force majeure
5.1. In case of commencement of force majeure circumstances, such as, military actions, fires, earthquakes, floods, prohibitive acts or actions of state authorities, as well as any other outside events, which the Parties could not foresee and prevent, the time of fulfilment of the obligations shall be extended for a period of duration of such circumstances.
5.2. The Party, which is not able to fulfil its obligations under the present Agreement due to force majeure circumstances, is to immediately notify the other Party about the commencement of such circumstances.
5.3. Force majeure circumstances commenced during a delay in fulfilment of the obligations shall not exempt the Party in fault from responsibility under the present Agreement.
6. Arbitration
6.1. Provisions of the present Agreement are to be construed in accordance with the current legislation of the Somali Democratic Republic.
6.2. All disputes arising between the Parties during performance of the present Agreement and which are not settled by negotiations shall be settled by Somali Democratic Republic International Arbitration Court, in accordance with its rules, by one judge.

7. Terms of the Agreement
7.1. The present Agreement comes into effect at the moment of it’s signing and shall remain valid for an indefinite period of time.
7.2. Early termination of the Agreement is possible in the following cases:
7.2.1. by agreement between the Parties;
7.2.2. unilaterally, notifying the other Party at least three months in advance.
7.2.3. unilaterally, immediately, notifying the Agent afterwards, in case of violation by the Agent of the terms and conditions of the present Agreement.
7.2.4. upon termination by customer, agent will continue to receive remuneration in accordance with the terms of this agreement for the client recruited until they cease to be clients or the parties reach an agreed settlement.
7.2.5. the agent may assign this agreement to another person or entity only after receipt of the Customer’s written allowance for each sub-Agent.
8. Other conditions
8.1. The Agreement is drawn up in English language, in two copies, each of them being equally legally valid, by one copy - for each Party.
8.2. The Agreement has 2 (two) appendixes: Appendix 1 and Appendix 2,
that are an integral part of the present Agreement.

1.3. The Bank shall credit the fees mentioned in cl.1.1. To the Agent’s settlement account as instructed by the Agent.
1.4. The amount and procedure for payment of fees for other deals between the Bank and a Client attracted by the Agent shall be determined in mutually agreed supplementary Application specifying the deals, bank charges, amount of the Agent’s fees and procedure for payment of fees.
